What is the procedure to be followed in order to operate in the free zone?

In order to operate in free zones, an Operating License must be obtained from the Free Zones General Directorate of the Under secretariat of Foreign Trade. To obtain an operating license the following requirements must be met;

1- Operating License Application Form to be obtained from the General Directorate of Free Zones, the Free Zone Directorate or the operator/founder-operator company of the free zone and a photocopy,

2- Introductory information about the applicant and the activity to be carried out in the free zone,

3- Authorization certificate and circular of signature of the signatory, and authorization certificate and signature statement of the company representative (if any),

4- Registration of the applicant company in the Turkish Trade Registry Gazettes and the Chamber of Commerce and/or Industry, where the establishment announcement and the latest capital and partnership structure are published (For foreign companies, a copy of the establishment certificate valid in their own country approved by the Turkish representative in that country),

5-The company's balance sheet, profit and loss statement for the last three years,

6- The original and a photocopy of the bank receipt showing that the application fee has been paid to the Central Bank,

7- (If any) Documents showing the amount of foreign currency brought to Turkey in the last three years, together with a petition, by registered mail with return receipt

It can be sent directly to the Undersecretariat of Foreign Trade, General Directorate of Free Zones, 06510 Emek / ANKARA - TURKEY, or it can be delivered to the relevant Free Zone Directorate,

8- Companies that are deemed appropriate to obtain an Operating License as a result of the examination carried out by the General Directorate, shall within 30 days; If they are going to rent an open area, make a lease agreement with the free zone operator/founder operator company. If they are going to rent one of the ready-made workplaces, make a lease agreement with any organization that has a rental license in the region,

9- In some free zones, whose land belongs to the private sector, it is also possible for companies to purchase land or workplaces. Companies that are deemed appropriate to obtain an Operating License as a result of the examination carried out by the General Directorate, shall within 30 days; If they are going to buy land or workplace make a sales contract with the free zone operator/founder operator company.

10- A copy of the contract approved by the relevant Free Zone Directorate is forwarded to the General Directorate of Free Zones. Within the period given by the Directorate, an Operating License is issued on behalf of those who make lease/sales contracts.

Investor users, after obtaining the Operating License, can apply to the Regional Directorate for the construction they have prepared. They get "Construction License" to implement their projects. After completing the construction work, by getting the "Settlement License", commercial start their activities.

For those who are not deemed appropriate to obtain an Operating License, the application fees paid for the Operating License are refunded.

It is for all companies operating in Turkey with real and legal personality operating in free zones, obligatory to carry out their activities in the region through the branches they will establish. In this case, while examining the balance sheets of the central company for the last three years, issues such as capital structure and profitability will be taken into account.

In order for the branch to operate in the free zone and to start its commercial activities, capital will be allocated and operating expenses will be foreseen.

Even if the fields of activity of all companies with real and legal personality to operate in free zones are limited to free zones, it is obligatory to have trade registry records.
